[2. PLATFORM_DESCRIPTION]
> SaaS Bazaar is an online marketplace that facilitates the buying and selling of Software as a Service (SaaS) businesses, digital assets, and related intellectual property through auction-based and direct purchase mechanisms.
3. User Accounts and Registration
3.1 Account Creation: Users must create an account to participate in transactions. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.3 Account Security: You are responsible for all activities that occur under your account.
4. Marketplace Rules
4.1 Listing Requirements: Sellers must provide accurate and complete information about their SaaS businesses, including but not limited to revenue, user metrics, technical specifications, and any known issues.
4.2 Bidding Rules: Bids are binding commitments. The minimum bid increment is 10% of the current highest bid.
4.3 Payment Processing: All payments are processed through Stripe. A 10% platform fee applies to all successful transactions.
4.4 Prohibited Items: Illegal content, malicious software, or businesses that violate applicable laws are prohibited.
5. Payment Terms
5.1 Platform Fees: SaaS Bazaar charges a 10% fee on successful transactions, deducted from the seller's proceeds.
5.2 Payment Methods: Valid payment methods must be added before placing bids. Payment is processed upon winning an auction or completing a direct purchase.
5.3 Escrow: Payments may be held in escrow until transfer conditions are met.
5.4 Refunds: Refunds are handled on a case-by-case basis according to our dispute resolution process.
6. Intellectual Property
The SaaS Bazaar platform, including its design, functionality, and content, is owned by SaaS Bazaar and protected by intellectual property laws. Users retain ownership of their listed businesses and content but grant SaaS Bazaar a license to display and promote listings.
7. Disclaimers and Limitations
7.1 Due Diligence: Buyers are responsible for conducting their own due diligence before purchasing. SaaS Bazaar does not verify the accuracy of seller-provided information.
7.2 Platform Availability: We strive for 99.9% uptime but do not guarantee uninterrupted service.
7.3 Third-Party Services: We use third-party services (Stripe, Supabase) and are not liable for their performance.
8. Dispute Resolution
Disputes between buyers and sellers should first be resolved directly. If resolution cannot be reached, SaaS Bazaar may mediate disputes and make final decisions regarding escrow release or refunds.
9. Termination
SaaS Bazaar reserves the right to terminate user accounts for violations of these terms, fraudulent activity, or other reasons deemed necessary for platform integrity.
10. Changes to Terms
We reserve the right to modify these terms at any time. Users will be notified of significant changes, and continued use of the platform constitutes acceptance of modified terms.
